Terms of Service

These Terms of Service ("Terms") govern the use of the netloop.ai service ("Service") by businesses ("Customer") with the provider Tobias Heer, Friedrichshafener Str. 5, 70329 Stuttgart ("Provider"). The Service is directed exclusively at businesses (Unternehmer within the meaning of § 14 BGB).
1. Subject matter
- The Provider provides the Customer with a platform for CLI-based network switch management with AI-assisted querying.
- The specific scope of services (in particular the number of managed switches, token quotas, available features) results from the plan ordered.
- Changes to the scope of services will be communicated to the Customer before they take effect.
- Public demo: The demo is a free test environment for professional users. Using the demo does not conclude a contract and creates no payment obligation. The demo serves solely to test the Service; it gives rise to no rights or obligations under these Terms. If the demo is used by a consumer, this notice also applies to that consumer; no paid service is offered.
2. Conclusion of contract and registration
- A contract is concluded upon the Customer's registration and the activation of the access by the Provider.
- The Customer warrants that the data provided is complete and correct and keeps it up to date.
- Access credentials must be kept confidential. The Customer is liable for usage through its access unless it is not at fault.
3. License and customer obligations
- The Customer receives a non-exclusive, non-transferable right to use the Service within the scope of its plan.
- The Customer ensures that it holds the necessary rights to the data it processes and that their processing (in particular IP/MAC addresses that may relate to individuals) is permissible from an operational and data protection perspective.
- The Customer shall not misuse the Service, in particular shall not access third-party systems without authorisation.
4. Token quota and fair use
- Usage may be billed via token quotas. Consumed tokens are not refundable.
- The quota is replenished on the first day of each calendar month.
- If the quota is exceeded, the Provider may restrict further use until the quota is replenished or upgraded.
5. Availability, Support and Maintenance
- The Provider endeavours to ensure high availability of the Service but does not guarantee any specific availability level.
- The Provider may temporarily restrict the Service for maintenance and will inform the Customer where reasonably possible.
- The following response targets apply to support requests:
- Security incidents (e.g. suspected data breach, unauthorised access): The Provider treats these with high priority and will conduct an initial assessment within 24 hours of notification. Further handling depends on the severity of the incident.
- Service disruptions (e.g. outage, malfunction): The Provider endeavours to respond in a timely manner, without guaranteeing any specific response or resolution time.
- Regular inquiries (e.g. questions about usage, configuration): The Provider endeavours to respond within one week.
- The aforementioned timelines and targets are best-effort goals, not guaranteed service levels. Failure to meet these targets does not give rise to any liability of the Provider or any right of the Customer to a reduction of fees or extraordinary termination.
6. AI-assisted features
- The Service uses AI models (large language models) for command generation and response creation.
- AI-generated content may be incorrect, incomplete or outdated. It does not constitute binding advice. The Customer verifies AI-generated commands and results before implementation, in particular for safety and correctness.
- The Provider does not warrant the accuracy or completeness of AI-generated content or the effects of executed commands.
7. Liability
The Provider's liability is unlimited only for intent and gross negligence, for injury to life, body and health and under mandatory statutory provisions (in particular product liability).
In cases of simple negligence the Provider is liable only for the breach of material contractual obligations (cardinal obligations) and only for the contract-typical, foreseeable damage.
Any further liability is excluded, in particular for indirect damages, lost profits, data loss, network outages, content generated by AI or damage caused by commands executed by the Customer.
- The Provider assumes no liability for damage caused by third parties, network outages, incorrect device configuration by the Customer or the use of AI-generated commands.
- The foregoing limitations also apply to the Provider's vicarious agents.
8. Confidentiality and data
- Both parties treat confidential information of the other party as confidential.
- Personal data is processed in accordance with the Privacy Policy and, where the Provider processes on behalf of the Customer, on the basis of a data processing agreement (Art. 28 GDPR). The agreement (DPA) is available at /en/dpa and forms part of this contract.
9. Term and termination
- Unless otherwise agreed, the contract runs for an indefinite term and may be terminated by either party with one month's notice to the end of a calendar month.
- The right to terminate for cause remains unaffected.
- After termination, the Customer's data is deleted in accordance with the Privacy Policy.
10. Changes to these Terms
- The Provider may amend these Terms for good cause (in particular legal changes or changes to the scope of services) with one month's notice.
- The Customer will be informed of changes by email. If the Customer rejects the changes, it may terminate the contract with effect from the date the changes take effect.
11. Final provisions
- The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- For disputes with the Customer, the place of jurisdiction is Stuttgart, provided the Customer is a merchant, a legal entity under public law or a public law special fund.
- Should individual provisions of these Terms be invalid, the validity of the remaining provisions remains unaffected (severability clause).
